Art.1 Quotations

Quotations and order confirmations are issued following written or verbal requests from the Customer and are valid for 30 days. Any discrepancies found in the quotation or order confirmation must be immediately reported to the sales department, which will promptly amend and resend the revised document. UNIRIG Srl reserves the right to modify the price list without prior notice.

Art.2 Orders and conclusion of the contract

The Customer’s order is binding and may only be cancelled or modified with the consent of UNIRIG Srl. Orders transmitted electronically by the Customer (fax, e-mail, internet portal) and signed electronically shall have the same validity and evidentiary value as written agreements pursuant to Presidential Decree No. 445 of 28 December 2000, and their conclusion shall be governed by Articles 1326, 1334 and 1335 of the Italian Civil Code. By accepting the order or order confirmation, the Customer accepts the terms and conditions of sale contained in this document. The delivery date indicated in the documents refers to the day on which the goods may be collected by the Customer or carrier from 3:00 PM onwards. Submission of the order implies full acceptance of these general terms and conditions of sale.

Art.3 Delivery

Delivery dates are indicative only. Any delays in delivery caused by unforeseen circumstances or force majeure events, such as limited availability of raw materials, machinery breakdowns, strikes, etc., shall not be attributable to UNIRIG Srl. UNIRIG Srl shall not be liable to the Customer for loss of production, profits, contracts or for any direct or indirect damages. If transportation is arranged by the Customer, the goods shall travel at the Customer’s own risk. Delivery delays shall not entitle the Customer to cancel the order or claim compensation.

Art.4 Returns

Returns will not be accepted without prior authorization from UNIRIG Srl and the assignment of an RMA code. Goods must be accompanied by a regular delivery note (DDT), shipped carriage paid, and delivered in their original packaging. Any unauthorized returns will be sent back to the Customer with transportation costs charged to the Customer. The maximum term for requesting return authorization is 8 days from receipt of the goods. UNIRIG Srl reserves the right to charge any inspection, restoration, and handling costs related to returned goods (restocking fee).

Art.5 Payments

Payments made by the Customer must be made directly to UNIRIG Srl according to the terms and conditions specified in the order confirmation. Payments may not be delayed or suspended, even in the event of machine failure, including if still under warranty, nor in the event of disputes or complaints. Set-offs are not permitted. Payments shall be allocated pursuant to Articles 1193 and 1194 of the Italian Civil Code. In the event of delayed payment, interest pursuant to Legislative Decree No. 231/2002 shall apply.

Art.6 Warranty

Upon delivery of the goods, the Customer is required to inspect the material and verify its compliance with the order confirmation. Should any damage be found, even only to the packaging, the Customer must immediately notify the carrier in writing, accepting the goods subject to verification of any damages. UNIRIG Srl expressly declines any responsibility for costs and the proper execution of the shipping arrangement. Any complaint must be submitted within 8 days from receipt of the goods, unless different mandatory terms are provided by applicable local laws or otherwise specified in the order phase. Unless otherwise stated, UNIRIG Srl guarantees its products for 24 months. The warranty exclusively covers parts that prove defective due to manufacturing defects within the specified period. The warranty is limited to the repair/replacement of the defective part at the premises of UNIRIG Srl. Goods must be sent to UNIRIG Srl at the Customer’s expense and care. Costs for disassembly/reassembly of the machine at the installation site shall be borne by the Customer. For components supplied by third parties and commercial electrical/electromechanical components, the warranty period is 12 months. Parts subject to normal wear and tear (friction linings, chains, ropes, hooks, bushings, buffers, extractors, rope guides, etc.) and/or deterioration caused by atmospheric and environmental agents are excluded from the warranty. The validity of the warranty is subject to correct installation, use and maintenance in compliance with the instructions supplied with the product. The warranty shall be void if non-original spare parts not supplied or approved by UNIRIG Srl are used. UNIRIG Srl shall not be liable for indirect damages, loss of profit, machine downtime, or inability to use the system. The warranty does not under any circumstances provide for reimbursement of the product. The warranty shall be void in the event of improper use, unauthorized modifications, or non-compliant installation.

Art.7 Retention of title

Sales with deferred payment terms are always made subject to retention of title in favor of UNIRIG Srl until full payment has been received. The Customer may not sell, pledge or transfer the goods until the debt has been fully settled. The Customer undertakes to inform UNIRIG Srl where the goods sold under retention of title are located. In the event of failure to pay even a single instalment of the agreed price, UNIRIG Srl reserves the right to terminate the contract and repossess the goods sold. Any partial payments already made shall remain acquired by UNIRIG Srl as a penalty and compensation for use, without prejudice to compensation for further damages suffered. Retention of title shall remain valid even if the goods are incorporated into other systems or installations, within the limits permitted by applicable law.

Art.8 Resolution of disputes

Any dispute relating to or connected with the order contract shall fall under the exclusive jurisdiction of the Court of Forlì, to the exclusion of any alternative jurisdiction.

Art.9 Limitation of technical liability

The Customer is responsible for verifying the suitability of the product for the intended application.

Art.10 Installation and certification

Installation and final certification of the system must be carried out by qualified personnel in accordance with applicable regulations. Products must be used in compliance with applicable regulations, the Machinery Directive, and applicable local regulations. The final Customer is responsible for carrying out periodic inspections, maintenance, and checks required by applicable regulations.

Art.11 Intellectual property

Drawings, renderings, and technical documentation remain the exclusive property of UNIRIG Srl.

Art.12 Limitation of economic liability

In any case, the total liability of UNIRIG Srl shall not exceed the value of the supply subject to the claim.
